Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the website located at tesraytech.com (the "Site") and the services provided by Velin Consulting Group LLC, doing business as Tesray Technologies ("Tesray," "we," "us," or "our"), including automated telephone answering and appointment scheduling that we operate on behalf of our business clients, and operational text message notifications that we send to our own business clients (collectively, the "Services"). By accessing the Site or using the Services, including by providing your telephone number during a call, you agree to be bound by these Terms. If you do not agree, do not use the Site or the Services.

1. Acceptance of Terms

By using the Site or the Services, you represent that you are at least 18 years of age, or the age of majority in your jurisdiction, and that you have the legal capacity to enter into these Terms. These Terms incorporate by reference our Privacy Policy.

2. Description of Services

Tesray builds and operates AI systems and automation, including an automated receptionist that answers calls, qualifies inquiries, and schedules appointments on behalf of our business clients, and that sends operational notification text messages to those business clients about activity in their own receptionist. The Services are provided on an "as available" basis and may change over time. Availability of appointments, pricing, and other details are set by the applicable business and are subject to change.

3. SMS / Text Messaging Terms

Our text messaging program sends operational, account-related notifications from Tesray to our own business clients. The following terms apply to that program. A fuller description is on our Messaging Program page.

• Program. We send operational notification text (SMS) messages to the business owner or authorized contact who has engaged Tesray to operate an AI receptionist or related service — for example, an alert when a caller leaves a message or requests an appointment through that client's receptionist. Messages are sent only to our contracted business customers. We do not send marketing or promotional text messages through this program, and we do not message the general public through it.
• Consent. Enabling these SMS notifications is optional and is not required to purchase or use any Tesray service. A client who wants text alerts turns them on themselves by texting a keyword (such as START) to our number and receiving a confirmation reply; this opt-in is user-initiated and is separate from purchasing or using the service. Declining or replying STOP at any time does not affect the service.
• Frequency. Message frequency is low and depends on the client's call volume, typically one to two messages per day.
• Cost. Message and data rates may apply, billed by your mobile carrier. We do not charge for the messages themselves.
• Opt out. You can cancel at any time by replying STOP to any message. We will send a confirmation, and you will receive no further messages. Opt-out keywords (STOP, END, CANCEL, UNSUBSCRIBE, QUIT) are honored automatically.
• Help. Reply HELP for help, or contact us using the details below.
• Carriers. Mobile carriers are not liable for delayed or undelivered messages.
• No sharing for marketing. We do not sell your information. No mobile information, including SMS opt-in and consent data, will be shared with third parties or affiliates for marketing or promotional purposes at any time.

4. No Legal Advice; No Attorney-Client Relationship

Tesray is a technology company, not a law firm, and does not provide legal advice. Information you receive through an automated Service, including from a receptionist operated on behalf of a law firm, is general in nature and does not constitute legal advice. Using the Services, scheduling a consultation, or leaving a message does not create an attorney-client relationship. An attorney-client relationship with a law firm is formed only when that firm expressly agrees to represent you in writing.

5. Acceptable Use

You agree not to use the Site or Services to: violate any law; harass, abuse, or harm another person; transmit false or misleading information; interfere with or disrupt the Services or related systems; or attempt to gain unauthorized access to any system or data. We may suspend or terminate access for conduct that violates these Terms.

6. Intellectual Property

The Site and its content, including text, graphics, logos, and software, are owned by or licensed to Tesray and are protected by intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from the Site without our prior written permission.

7. Third-Party Services and Links

The Services rely on and may link to third-party providers, such as telephony, scheduling, and payment services. We are not responsible for the content, policies, or practices of any third party. Your use of a third-party service is governed by that party's own terms and privacy policy.

8. Disclaimers

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, timely, secure, or error-free, or that messages will always be delivered.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TESRAY AND ITS OWNERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING FROM OR RELATING TO YOUR USE OF THE SITE OR SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

10. Indemnification

You agree to indemnify and hold harmless Tesray and its owners, employees, and agents from any claims, damages, liabilities, and expenses arising out of your use of the Site or Services or your violation of these Terms.

11. Changes to the Services and Terms

We may modify or discontinue the Site or Services at any time. We may also update these Terms from time to time; when we do, we will revise the "Last updated" date above. Your continued use after a change constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of the State of Hawaii, without regard to its conflict-of-laws rules. Any dispute arising under these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in Hawaii, unless otherwise required by applicable law.
